  • Your dashboard is only as accurate as the records you choose to enter, import, or connect.
  • Values shown in OpenFolio are user records and estimates. They may not reflect actual ownership, market value, broker records, registry records, bank records, tax outcomes, or legal entitlements.
  • To the maximum extent permitted by Australian law, you use OpenFolio at your own risk.

1. Agreement to these terms

These Terms of Service form a legal agreement between you and OpenFolio in relation to your access to and use of the OpenFolio website, dashboard, tools, importers, reports, APIs, and related services. By creating an account, signing in, importing data, connecting a platform, or using the service, you agree to these terms and our Privacy and Data Policy.

2. Eligibility and account security

You must be at least 18 years old and able to enter a binding contract under Australian law. You are responsible for your account, login method, devices, browser sessions, connected platform credentials, API keys, and any activity performed through your account. You must immediately revoke connected platform credentials and notify us if you suspect unauthorised access.

3. No financial, investment, tax, legal, or accounting advice

OpenFolio is a software tool for organising records and generating informational views. Nothing in the service is personal advice, general advice, financial product advice, investment advice, tax advice, legal advice, accounting advice, a recommendation, or an invitation to trade, buy, sell, hold, borrow, lend, or invest.

We do not consider your personal objectives, financial situation, needs, risk tolerance, tax circumstances, or legal obligations. You should seek advice from an appropriately licensed financial adviser, accountant, tax professional, lawyer, or other qualified professional before relying on information shown in OpenFolio.

4. User-provided records and accuracy

OpenFolio displays calculations, summaries, charts, tax estimates, net worth figures, holdings, gains, losses, dividends, franking credits, and reports using records you provide. Those records may be created by manual entry, CSV import, third-party connection, price feed, or system calculation.

You acknowledge that any amount or asset shown in OpenFolio is a record or claim in the system, not independent proof that you own that asset, hold that balance, are entitled to that amount, or have a particular tax position. The service may be incomplete, outdated, duplicated, wrong, delayed, unavailable, or inconsistent with external records.

You are solely responsible for checking all records against your broker, bank, registry, super fund, crypto exchange, tax records, accountant, and other source documents.

5. Imports, direct connections, and third-party platforms

You may choose to upload files or connect supported platforms. Direct connections are optional and should only be used if you are comfortable with the data being accessed. Where a platform supports permission scopes, you must use the lowest-risk permissions available, preferably read-only and with no withdrawal, transfer, or trading rights.

Third-party platforms may change their exports, APIs, permissions, pricing, availability, data formats, or terms. We are not responsible for third-party systems, third-party outages, inaccurate third-party data, platform decisions, or losses caused by your use of third-party credentials.

You authorise us to process information you upload or connect for the purpose of providing the service.

6. Tax estimates and reports

Capital gains tax, franking credit, dividend, income, and financial year reports are estimates generated from available records. They are not tax returns, tax agent services, accountant certifications, legal determinations, or ATO rulings. You remain solely responsible for your tax affairs, record keeping, lodgements, elections, and professional review.

7. Market data and valuations

Price feeds, exchange rates, crypto prices, dividend forecasts, and valuation data may be delayed, missing, stale, estimated, or wrong. We do not guarantee continuity, accuracy, availability, or suitability of any data source. You must not rely on OpenFolio as the sole source for trading, investment, lending, tax, or legal decisions.

8. Security protocol and emergency access controls

We may take emergency security action without prior notice if we reasonably suspect compromise, abuse, unauthorised access, credential exposure, platform misuse, legal risk, operational risk, or a threat to users or the service. Emergency action may include suspending accounts, disabling logins, invalidating sessions, pausing imports, disconnecting integrations, revoking tokens, rotating secrets, preserving audit evidence, limiting exports, blocking IPs, or taking the service offline.

We are not liable for loss caused by reasonable emergency security actions taken to protect users, data, systems, legal compliance, or service integrity, except to the extent liability cannot be excluded under Australian law.

9. Acceptable use

You must not misuse the service, attempt unauthorised access, bypass security controls, scrape or overload systems, upload malicious files, upload data you have no right to use, impersonate others, use the service for unlawful activity, or use it in a way that could harm other users, OpenFolio, or third-party platforms.

10. Subscription, billing, and refunds

Paid subscriptions are processed by Stripe. Unless required by law, fees are non-refundable once charged. You may cancel at any time, and cancellation takes effect at the end of the current billing period. We may change pricing, plan inclusions, or billing terms with reasonable notice.

11. Intellectual property

We own or license the OpenFolio software, design, branding, workflows, documentation, and related intellectual property. You retain ownership of records you provide. You grant us a limited licence to host, process, transform, display, and analyse your records so we can provide the service.

12. Disclaimers

The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, guarantees, representations, and conditions not expressly stated in these terms, including implied warranties of accuracy, fitness for purpose, availability, security, merchantability, non-infringement, and uninterrupted operation.

13. Limitation of liability

To the maximum extent permitted by Australian law, OpenFolio and its officers, employees, contractors, suppliers, and operators are not liable for indirect, consequential, special, punitive, exemplary, incidental, economic, financial, investment, trading, tax, legal, reputational, privacy, data, business interruption, lost profit, lost opportunity, or loss-of-use damages.

To the maximum extent permitted by Australian law, our total aggregate liability for all claims relating to the service is limited to the amount you paid us for the service in the 3 months before the event giving rise to the claim, or AUD $100 if you paid nothing.

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, remedy, or liability that cannot lawfully be excluded, restricted, or modified under the Australian Consumer Law or any other applicable law.

14. Indemnity

To the maximum extent permitted by law, you indemnify us against claims, losses, liabilities, costs, and expenses arising from your breach of these terms, unlawful use, third-party platform misuse, unauthorised data upload, inaccurate records, or reliance on outputs without professional verification.

15. Changes, suspension, and termination

We may change, suspend, or discontinue features at any time. We may suspend or terminate your account if you breach these terms, create legal or security risk, fail to pay fees, or misuse the service. You may stop using the service at any time and request deletion as described in the Privacy and Data Policy.

16. Governing law

These terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth courts of Australia.
